SALEM, Ore. — Agility Robotics generated $1.8 million in net sales last year while recording a $140 million operating loss, according to a registration statement filed with the Securities and Exchange Commission.

The filing provides a first detailed look at the finances of the Digit humanoid robot maker as it seeks to go public this year through a merger with Churchill Capital Corp XI, a special purpose acquisition company, or SPAC.

Agility’s operating expenses increased to $111 million in 2025 from $71 million in 2024, and the company used about $100 million in cash during the year, The Robot Report said.

The proposed transaction values Agility at $2.5 billion before the merger and is expected to provide more than $620 million in gross proceeds. That total includes about $421 million held in Churchill XI’s trust account, assuming no shareholder redemptions, and approximately $201 million from a private investment.

The proceeds are expected, not guaranteed. The transaction remains subject to shareholder approval, regulatory review and other closing conditions. Churchill XI shareholders may also redeem their shares, reducing the amount of trust cash available to the combined company.

Agility develops Digit, a bipedal robot designed to move materials in warehouses and manufacturing facilities. The company says Digit robots have accumulated more than 65,000 operating hours across nine customer sites. Those operational figures have not been independently verified.

The filing describes two planned sales models for the next-generation Digit v5. Under a robots-as-a-service arrangement, Agility expects to charge about $8,500 a month, plus a $25,000 deployment fee. A direct purchase would cost about $200,000, followed by a $20,000 deployment fee and approximately $36,000 a year for software and maintenance. Actual contracts, prices and utilization may differ from those assumptions.

Agility also says it has more than $300 million in multiyear orders for Digit v5. The reported amount is tied to one unnamed customer and depends on the company meeting contractual milestones. It should not be treated as recognized revenue.

The company projects that about 800 Digit v5 robots will be deployed in 2027, rising to 7,000 by 2030, and as many as 25,000 by 2035. Those figures are forecasts, not existing deployments or firm production results.
