Faraday Future Plans $200M Robotics Deal With Majority-Owned Unit
The proposed all-stock transaction would put Faraday Future's robotics operations into a separately traded company, but the related-party deal still requires further approvals.

LOS ANGELES — Faraday Future plans to sell its robotics business to majority-owned AIxCrypto Holdings in an all-stock transaction valued at about $200 million, under a nonbinding agreement that has not yet received final approval.
The companies signed the term sheet Sept. 25 and Faraday Future disclosed it in a regulatory filing Sept. 28. AIxCrypto would acquire the equity interests in the entity holding Faraday Future's robotics business, with certain executive stock options excluded.
The transaction is a related-party deal. Faraday Future is AIxCrypto's majority owner, while Faraday Future Global Executive Chairman Jerry Wang is also CEO of AIxCrypto. A special committee of Faraday Future's board unanimously approved signing the term sheet, followed by the board itself, but the filing explicitly says those decisions do not constitute approval of the acquisition.
The proposed $200 million purchase price would be paid in AIxCrypto common stock and nonvoting convertible preferred stock. The transaction remains subject to due diligence, definitive agreements, special committee and board approval, a satisfactory fairness opinion and other closing conditions. The companies currently expect a fourth-quarter closing.
AIxCrypto plans to change its name to FF EAI Robotics Ecosystem Inc. and its Nasdaq ticker from AIXC to FFR on Sept. 30. It also plans to discontinue its cryptocurrency strategy.
Faraday Future says its robotics business had shipped 552 robots through the end of August and recorded a 30.9% gross margin in unaudited second-quarter results. Management projects robotics revenue of about $7.1 million in 2026 and $45.17 million in 2027, although AIxCrypto has not adopted those projections as guidance.
The proposed transaction follows Faraday Future's expansion of its robot lineup. As ROBOT24.com reported earlier this month, the company introduced nine robot configurations, including an All-New Futurist humanoid priced at $89,900.
Faraday Future also announced agreements with six partners in the United Arab Emirates this week covering areas including system integration, education, security and inspection. The company has not disclosed robot quantities, contract values or schedules for deployments under those agreements.
